ORGANIZER TERMS OF SERVICE

Thank you for choosing OpenSeat! These Organizer Terms of Service (“Terms”) form a legally binding agreement between you (“Organizer,” “you,” or “your”) and OpenSeat LLC (“OpenSeat,” “we,” “us,” or “our”). These Terms apply when you use OpenSeat to create, promote, or manage events and to sell tickets through our platform (the “Platform”).
By creating an event or accessing any organizer tools, you agree to these Terms.
1. Who Can Use OpenSeat as an Organizer
To use OpenSeat as an Organizer, you confirm that:
You are at least 18 years old.
You have the legal authority to create and manage the event.
If acting on behalf of a venue, business, or promoter, you’re authorized to represent that entity.
Your event follows all applicable laws, safety rules, and permit requirements.
2. Our Relationship With You
OpenSeat is not an event organizer, producer, or venue operator.
You are fully responsible for the events you create.
OpenSeat simply provides the technology to help you sell tickets.
Ticket buyers purchase tickets from you, not from OpenSeat.
We are not responsible for the event’s content, safety, organization, or overall experience.
3. Fees, Payments & Payouts
3.1 Organizer Fees
Organizer fees are not fixed and may vary by venue or event.
We will agree to fees with you in writing (e.g., by email or contract).
3.2 Buyer Fees
OpenSeat may charge service fees to ticket buyers.
These appear clearly at checkout and are added on top of the ticket price.
3.3 Payouts
All payouts are handled directly by Stripe.
OpenSeat does not hold your money.
Funds flow from Stripe to your registered account.
You must maintain a valid, verified Stripe account.
Any payout delays or holds are controlled by Stripe.
4. Refunds, Chargebacks & Cancellations
4.1 Refunds
You, the Organizer, are responsible for issuing refunds.
OpenSeat does not refund buyers on your behalf.
4.2 Refund Policy for Active Events
For events that are not canceled, you may set your own refund policy, as long as:
It is displayed on your event page, and
It follows applicable laws.
4.3 Chargebacks
You are responsible for chargebacks and any financial losses resulting from them.
Stripe may invoice OpenSeat for a chargeback, and if so, we will invoice you.
4.4 Event Cancellations
If your event is canceled, postponed, or materially changed:
You must notify attendees.
You must issue refunds accordingly.
You are responsible for any claims arising from the cancellation.
5. Your Responsibilities as an Organizer
You are solely responsible for:
Event safety and security
Venue compliance with legal and regulatory requirements
Obtaining permits and licenses
Enforcing age restrictions and alcohol laws
Accurate event descriptions
Providing customer support for the event
Handling attendee disputes
Ensuring your QR code scanning / entry process works smoothly
Complying with privacy laws when contacting attendees
6. Your Content & Intellectual Property
6.1 Your Ownership
You retain ownership of all text, images, logos, and other content you upload (“Organizer Content”).
6.2 License to OpenSeat
You grant us permission to:
Display your content on event pages
Host and distribute it as needed
Use it in promotional materials for your event
Feature it in OpenSeat marketing (e.g., portfolio examples)
6.3 Prohibited Content
You may not upload content that is:
Illegal
Defamatory or misleading
Infringing on third-party rights
Promoting harmful or unsafe activity
We may remove harmful or illegal content at our discretion.
7. Prohibited Events
You may not create events that involve:
Illegal activities
Hate speech, violence, or discrimination
Unlicensed gambling
Unreasonable safety risks
Violations of local laws
We may suspend or remove such events without notice.
8. Use of Ticket Buyer Phone Numbers
OpenSeat collects buyer phone numbers only to help them:
verify their account
access their tickets
log into the mobile app
receive essential service or security notices
We do not use buyer phone numbers for marketing, advertising, or promotional SMS.
We do not sell or share buyer phone numbers with third parties for marketing.
9. Suspension & Termination
OpenSeat may suspend or terminate your Organizer access if you:
Violate these Terms
Create unsafe or fraudulent events
Accumulate excessive chargebacks
Fail to honor your refund obligations
Abuse or misuse the Platform
You remain responsible for refunds and pending obligations even after termination.
10. Indemnification
You agree to protect and indemnify OpenSeat from any claims, costs, or damages arising out of:
Your events
Injuries or incidents at your events
Intellectual property issues
Refund failures
Chargebacks
Regulatory or legal violations
Your breach of these Terms
11. Limitation of Liability
To the fullest extent allowed by law:
OpenSeat is not liable for indirect, incidental, or consequential damages.
Our maximum liability is limited to the fees paid by you to OpenSeat in the past 12 months.
12. Governing Law
These Terms are governed by the laws of the State of Washington.
All disputes must be handled in the state or federal courts of Clark County, Washington.
